Wholesale Agreement — Terms & Conditions

These Terms & Conditions govern all wholesale purchases made from Mighty Avenue Co. (“we,” “our,” “us”). By submitting a wholesale application or placing a wholesale order, you (“Retailer,” “Purchaser”) agree to the terms outlined below. Mighty Avenue Co. reserves the right to update or revise these terms at any time.

1. Wholesale Eligibility & Certification

To open a wholesale account, Purchaser must submit:

  • A completed Wholesale Application

  • A valid resale certificate (where applicable)

  • All requested business information

Approval of a wholesale account constitutes agreement to these Terms & Conditions. Mighty Avenue Co. reserves the right to approve, deny, or discontinue wholesale accounts at our discretion.

2. Approved Sales Channels

Mighty Avenue Co. products may be sold through approved channels, including:

  • Brick-and-mortar retail locations

  • Online storefronts owned and operated by Purchaser

  • Seasonal pop-ups, markets, fairs, and temporary retail experiences

  • Churches, museums, and specialty retailers

Products may not be sold through third-party marketplaces or reselling platforms without prior written approval.

3. Additional Sales Locations

If Purchaser intends to sell Mighty Avenue Co. products at additional locations or events beyond the originally approved business model, notification or approval may be required.

4. Brand Integrity & Merchandising Standards

All Mighty Avenue Co. products must be:

  • Displayed thoughtfully and respectfully

  • Kept clean, organized, and well-presented

  • Sold in original packaging and condition

Mighty Avenue Co. reserves the right to review or audit wholesale accounts to ensure brand standards are upheld.

5. Account Activity & Minimum Order Requirement

Mighty Avenue Co. offers primarily seasonal and holiday-driven products. To maintain an active wholesale account, Purchaser must place at least one qualifying wholesale order within a 12-month period.

Accounts with no purchase activity within a 12-month period may be reviewed and moved to inactive status at the discretion of Mighty Avenue Co. Inactive accounts may be reactivated upon placement of a new qualifying wholesale order, subject to product availability.

6. Ordering Guidelines

Minimum order quantities, case pack requirements, and current wholesale pricing are outlined separately and provided on the wholesale application or ordering platform. These details are subject to change and do not form part of this Agreement.

7. Payment & Fulfillment

Payment is due in full at the time of order. Orders are processed within standard fulfillment timelines, excluding holidays, launches, or peak seasonal periods. Shipping methods and carriers are selected by Mighty Avenue Co.

8. Transfer of Ownership

Ownership of products transfers to Purchaser once the shipment is picked up by the carrier. All wholesale sales are final. Mighty Avenue Co. does not offer buy-backs or consignment.

9. Damages & Defects

Purchaser must notify Mighty Avenue Co. of any damaged or defective products within 14 calendar days of receipt. Claims submitted outside this window may not be honored.

10. Customer Returns

Manufacturer defects may be directed to Mighty Avenue Co. customer care. All other customer returns or exchanges are handled at Purchaser’s discretion.

11. Pricing, Discounting & Promotions

Wholesale pricing, MSRP, MAP guidelines, and promotional policies are communicated separately and must be adhered to while actively carrying Mighty Avenue Co. products. Unauthorized discounting or price undercutting may result in account review or termination.

12. Online Sales & Digital Listings

Products may be listed on Purchaser’s website for in-store pickup or local delivery only, unless otherwise approved in writing. Nationwide shipping or third-party fulfillment requires prior authorization.

13. Social Media & Brand Representation

Retailers may share Mighty Avenue Co. products on social media using original content or approved brand assets. Logos and trademarks may not be used as a business name or imply ownership of Mighty Avenue Co.

Negative or defamatory public commentary regarding Mighty Avenue Co. may result in immediate account termination.

14. New Product Launches & Confidentiality

Retailers may not advertise, sell, or disclose information regarding unreleased or upcoming products prior to official launch by Mighty Avenue Co. Violation of this policy may result in termination of wholesale privileges.
